Lake Constitution

Please note that some formatting features were lost when the word processing file was translated
to Internet format. The contents however remain unchanged. The second edition incorporates
the concept of a member being a member of any road association on the Lake or watershed area
who has paid the Lake Association membership dues. Some reorganization was needed to
incorporated this concept, but essentially the other part remained unchanged.

ASSOCIATION

CONSTITUTION
(November 5,
2003)
Name Article
1.

1. The name of the organization shall be: The
Patterson Lake Association of Lanark Highlands, which may be shortened to the Patterson Lake Association.

Aims and Objectives Article
2.

2. The aims and objectives of the Association
shall be:

a. To provide a means of conveying
information, making decisions, and taking action on
matters that affect the entire lake and watershed area; and,

b. To provide a central contact for
communications internally between members, and
externally to persons or organizations that deal with the association.

Membership Article
3.

3. A member of the Association shall be any
person who has land on Patterson Lake or its
watershed, and who has paid the membership fee of the Association.

4. A person may withdraw from membership by
notification in writing to the President of the
organization.

5. Membership may be withdrawn by a
two-thirds majority vote at a Annual or Special Meeting
of the Association duly notified by 30 days notice and attended by representatives of at least four
of
the six road associations.

6. The membership fee shall be as decided by
the executive of the Association.

Executive Article
4.

7. The executive of the Association shall be one
elected or appointed representatives from the
each of the six road associations or road areas on Patterson Lake, hereafter referred to as “road
associations”. The road associations are:

a. Joe’s Cres/Nelson Way;

b. Porcupine Way;

c. White Pine Lane/Lakeside
Road;

d. Hardwood Ridge Road;

e. Parsons Way/Parsons Lane;
and,

f. Fair’s Lane.

8.
The executive committee shall be organized as one President and five Vice-Presidents,
who
shall:

a. be responsible to and report to the members
at each Annual Meeting;

b. serve without remuneration;

c. collect and expend Association funds, from
their respective road associations, in
accordance with a budget approved by the Association;

d. request road associations to fill vacancies in
office occurring between Annual
Meetings;

e. convene Annual Meetings of the
Association; and,

f. convene Special General Meetings of the
membership of the Association, when so
required.

Duties of the Executive
Article 5.

9. The President shall preside at all
Annual or Special General Meetings, and shall perform the
duties usual to the office of President, including being custodian of the Constitution. In addition,
the
President shall perform all vice-presidential duties, as outlined below, for his/her road
association.

10. There shall be five Vice-Presidents,
one from each of the road associations. The Vice-Presidents shall:

a. act as the main contact for their respective
road associations;

b. collect and expend funds from their
respective road associations/members to support
the approved programs of the Association;

c. maintain an accounting of funds raised and
expended, which shall be reported to the
Association, as decided by the Association;

d. keep, or arrange to have kept, a list of
members of their respective road association;

e. assist in directing the overall affairs of the
Association; and,

f. perform such other duties as the nature of
his/her office may be assigned by the
President or an Annual Meeting.

11. The duties of secretary or treasurer shall be
assigned as additional duties for the President or
any Vice-President, as required.

Auditor Article
6.

12. If wished by an Annual Meeting, an Auditor
shall be elected. The Auditor shall audit the
books and accounts of the Association and submit a report to the Annual Meeting. The Auditor
shall
not be a member of the Executive.

Nominations and Elections
Article 7.

13. Any representative of a road association to
the Executive Committee shall be eligible for
election to any office.

14. The term of office of the Executive shall be
until the next Annual Meeting. The Executive
members may stand for re-election.

15. The consent of the nominee shall be obtained
before nomination.

Meetings and Quorums
Article 8.

16. A quorum shall consist of representation
from four of the of the six road associations.

17. If a meeting has been duly notified at least
thirty days in advance, and if a quorum was not
available for the meeting, then the President shall adjourn the meeting without making any
decisions,
and call another meeting within 7 to 30 days from the date of the adjourned meeting. A quorum
at
a subsequent meeting shall be those in attendance.

18. The Annual Meeting of the Association shall
be called by the President usually on the
Saturday of Labour Day weekend, or other time mutually agreeable, or failing action by the
President,
by any Vice-President. The Annual Meeting shall review the business of the Association, conduct
elections, receive financial reports, and conduct other business as necessary.

19. At least one (1) month prior to the date set
for the Annual Meeting, notice shall be given to
members by the President, either by hand, phone, fax, electronic mail, or published to the
Association’s website, or other means, or by letter sent to the last known address of a
member.

20. A special general meetings may be called by
the President or any Vice-President. A special
general meeting shall conduct any business it considers necessary for the
Association.

21. The Executive shall meet at the call of the
President or any Vice-President. At least seven
days notification of the meeting shall be given by the calling member or members.

22. All meetings shall be conducted in
accordance with the Abbreviated Rules of Order attached
to this Constitution.

Voting Article
9.

23. Only members present at the Annual Meeting
shall be eligible to vote. There shall be no proxy
votes.

24. In case of a tie, the Chair shall cast a
deciding vote.

25. Except as required by Constitution, all
matters shall be decided by a majority vote of one-half
(1/2) plus 1 person.

Changes in Constitution
Article 10.

26. The Constitution may be amended, repealed,
or added to by a majority vote of two-thirds
(2/3) of a vote at any Annual Meeting after notice of the proposed amendment has been circulated
among the members no later than one (1) month prior to the date of the meeting at which the
amendment is to be considered.

Fiscal Year Article
11.

27. The Fiscal Year of the Association shall be
from September 1 to August 31.

Distribution Article
12.

28. A copy of the Constitution shall be made
available, either on paper on by electronic means,
to all members and to all road associations. A copy may be sent to the Township or other
interested
party as desired by the Executive.

Wind-up or Dissolution
Article 13.

29. In the event of the wind-up or dissolution of
the Association, the liabilities of the organization
shall be paid, and any assets turned over, free of charge, to the member road associations, to a like
minded follow-on organizations serving the interests of the area, or failing that to the Township
Lanark Highlands to be used as they see fit.
